§ 1 Scope
These Terms of Service (the "Terms") apply to all contracts between Franken Invest GmbH, Schönrathstraße 15, 52066 Aachen, Germany (hereinafter the "Provider"), and the users of the online service propready.ai (hereinafter the "Customer").
propready.ai is an AI-powered image editing service for the real estate industry, available at https://propready.ai.
Conflicting terms or terms of the Customer that deviate from these Terms are not recognized by the Provider unless the Provider has expressly agreed to their application in writing. These Terms also apply where the Provider renders its service without reservation while aware of conflicting terms of the Customer.
§ 2 Service Description
propready.ai provides AI-powered photo editing for real estate photos. The service automatically detects and removes clutter, personal items, and unwanted elements from interior photos of apartments and houses, without altering furniture, the floor plan, or the actual substance of the room.
The service is offered on the basis of one-time payments for credit packages. There is no subscription. The following credit packages are available:
- Single Property: 25 Credits (one-time €19)
- Starter: 100 Credits (one-time €69)
- Pro: 300 Credits (one-time €149)
- Agency: 750 Credits (one-time €349)
Each credit entitles the Customer to process one image. Purchased credits are valid for 12 months from the date of purchase. After this period expires, unused credits lapse without compensation. If the Customer makes a further credit purchase within the validity period, the validity of all unused credits is extended by a further 12 months from the date of the new purchase.
Explicitly not part of the service is virtual staging, i.e. the subsequent addition of furniture, decorative elements, or other furnishing items not present in the original. The result of the editing always reflects the actual condition of the photographed room.
§ 3 Contract Formation
The Provider's offer on the website does not constitute a binding offer but rather a non-binding invitation to submit an order (invitatio ad offerendum).
The Customer submits a binding offer to enter into a contract by registering on the website, selecting a credit package, and completing the order process by clicking the order button. The contract is formed when the Provider confirms the order by sending a confirmation email or activates the booked service.
Payment is made at the Customer's choice by SEPA direct debit or credit card via the payment service provider Stripe. The applicable privacy policy and terms of use of Stripe can be found at https://stripe.com/en.
The contract text is not stored separately. The Customer can access and save these Terms at any time via this page before concluding the contract.
§ 4 Prices and Payment
The following one-time prices apply to the credit packages (all prices are gross prices including the applicable statutory value-added tax):
- Single Property: 25 Credits, €19.00 (one-time)
- Starter: 100 Credits, €69.00 (one-time)
- Pro: 300 Credits, €149.00 (one-time)
- Agency: 750 Credits, €349.00 (one-time)
Payment is made once via the payment service provider Stripe (at the Customer's choice by SEPA direct debit or credit card). No recurring charges apply. The purchase price is due immediately upon completion of the order. The applicable privacy policy and terms of use of Stripe can be found at https://stripe.com/en.
In the event of a failed payment, the Provider is entitled to suspend access to the service until the purchase price has been paid in full.
§ 5 Credit Validity and Expiry
Purchased credits are valid for 12 months from the date of purchase. After expiry, unused credits lapse without compensation.
If the Customer makes a further credit purchase within the validity period, the validity of all unused credits is extended by a further 12 months from the date of the new purchase.
No separate cancellation is required, as there is no subscription. The service can be ended at any time simply by not purchasing further credits.
If the Customer violates these Terms, in particular if the Customer uses the service for unlawful purposes, the Provider is entitled to suspend access to the service for cause. Any remaining credits will not be refunded in this case.
§ 6 Usage Rights
For the duration of the contractual relationship, the Provider grants the Customer the non-exclusive, non-transferable right to use the propready.ai service within the scope of these Terms.
The images processed and output by the service (hereinafter "processed images") may be used by the Customer for the marketing of real estate properties, in particular for publication in real estate listings on portals, the Customer's own websites, as well as in printed and digital marketing materials.
The Customer warrants that they hold the necessary rights to the uploaded original photos and are permitted to make them available to the Provider for processing. The Customer shall indemnify the Provider against all third-party claims arising from a breach of this obligation.
Resale of the service or of the usage rights to third parties is not permitted without the prior written consent of the Provider.
§ 7 Limitation of Liability
The propready.ai service uses AI technology for automated image editing. The editing quality is provided to the best of technical ability. However, the Provider does not guarantee that the processed images will meet the Customer's expectations in every individual case or be suitable for a particular purpose. In particular, no guarantee is given for the perfect, error-free, or complete removal of all unwanted image elements.
The Provider is liable without limitation for damages resulting from injury to life, body, or health, as well as for damages caused intentionally or by gross negligence, and for the absence of a warranted characteristic.
Otherwise, the Provider's liability is limited to the typically foreseeable damage. Liability for slightly negligent breach of non-essential contractual obligations is excluded to the extent permitted by law. Any further liability — in particular for lost profits, indirect damages, or consequential damages — is excluded, unless mandatory statutory provisions provide otherwise.
To the extent that the Provider's liability is excluded or limited, this also applies to the personal liability of its employees, representatives, and vicarious agents.
§ 8 Privacy
The protection of personal data is an important concern for the Provider. For details on the collection, processing, and use of personal data, in particular the processing of uploaded photos via the Google Gemini API as well as payment processing via Stripe, please refer to the privacy policy of propready.ai.
§ 9 Governing Law and Jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
If the Customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is Aachen (the Local Court of Aachen or the Regional Court of Aachen, depending on the amount in dispute).
The foregoing jurisdiction agreement does not apply to consumers; for consumers, the statutory rules on jurisdiction and mandatory consumer protection provisions apply.
§ 10 Amendments to the Terms
The Provider reserves the right to amend these Terms with effect for the future. Amendments will be announced to the Customer by email to the email address on file with a notice period of four weeks before they take effect.
If the Customer does not object to the amended Terms within four weeks of receiving the notice of amendment, the amended Terms shall be deemed accepted. The right to object and the consequences of remaining silent will be specifically pointed out in the notice of amendment.
In the event of a timely objection, the Provider is entitled to ordinarily terminate the contractual relationship as of the date on which the amendment takes effect.
§ 11 Severability
Should individual provisions of these Terms be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the invalid provision.
